Welcome to Beelocal.io! These Terms of Service ("Terms") govern your access to and use of our products and services, including our website, mobile applications, digital tools, and communications (collectively, the "Platform"). By accessing or using any part of the Platform, you agree to be bound by these Terms, forming a legally binding agreement between you and Brood Box Group 8, Inc. d/b/a/ Beelocal, a Wyoming corporation with its headquarters in Raleigh, NC ("Beelocal," "we," "us," or "our"). If you do not agree to these Terms, you may not access or use the Platform. PLEASE NOTE: THESE TERMS INCLUDE DISPUTE RESOLUTION PROVISIONS (SEE SECTION 18) THAT, WITH LIMITED EXCEPTIONS, REQUIRE THAT (1) CLAIMS YOU BRING AGAINST BEELOCAL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND (2) YOU WAIVE YOUR RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, GROUP, OR REPRESENTATIVE ACTION OR PROCEEDING.
1. DEFINITIONS a. “User” means any individual or entity who accesses or uses the Platform, with or without an “Account." b. "You" or "your" refers to you as a user. c. “Content” means all forms of data, communications, media, and materials, including but not limited to text, graphics, photos, audio, video, and other materials uploaded, downloaded, or appearing on the Platform d. “Your Content” means Content submitted or transmitted by you to or through the Platform, including business information, reviews, feedback, messages, photos, and videos. e. "User Content" means all Content submitted by users, including Your Content. f. “Beelocal Content” means Content created or provided by Beelocal, including interface elements, logos, service marks, promotional materials, and analytical data. g. “Third Party Content” means Content provided by third parties not affiliated with Beelocal. h. “Service Content” means all Content available on the Platform, including Beelocal Content, User Content, and Third-Party Content. i. Sites and Accounts. “Consumer Site” means Beelocal’s consumer website (www.beelocal.io and related domains) and mobile applications. “Consumer Account” means the account you create to access or use the Consumer Site. “Business Account” means the account you create to access or use the Beelocal for Business Owners website (biz.beelocal.io and related domains/subdomains) and mobile applications. “Account” means any Consumer Account or Business Account.
2. CHANGES TO TERMS Beelocal may update these Terms at any time with or without notice. When we do, we will revise the "Last Updated" date at the top of the Terms and post the updated version on the Platform. We may also notify you of material changes by sending you an email or displaying a notice through the Platform prior to the changes taking effect. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the amended Terms, you must stop using the Platform. Continued use after the effective date constitutes your acceptance.
3. ELIGIBILITY & ACCOUNTS You must be at least 18 years old and capable of forming a legally binding agreement to access or use the Platform. If you are registering on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms. You agree to provide accurate, current, and complete Account information and to update such information, as necessary. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. Beelocal may suspend or terminate your Account at any time for any reason, including if we believe you have violated these Terms or applicable law.
4. USE OF PLATFORM Subject to your compliance with these Terms, Beelocal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or authorized business use. You agree not to use the Platform to: a. Violate any applicable local, state, national, or international law or regulation; b. Post or distribute content that is defamatory, libelous, harassing, abusive, fraudulent, obscene, or otherwise objectionable; c. Gain unauthorized access to the Platform, other user accounts, or networks connected to the Platform by any means such as hacking, phishing, or circumventing security protocols; e. Reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Platform; f. Use automated means such as bots, spiders, or scrapers to access or use the Platform without our prior written consent; g. Overload or interfere with the proper functioning of the Platform or the servers or networks connected to it; h. Use the Platform for any commercial purpose not expressly permitted under these Terms, including without limitation promoting or advertising products or services without authorization. Beelocal may, without prior notice and at its sole discretion, remove any content or suspend or terminate your Account for conduct that violates these Terms or that we deem harmful to other users or the Platform Misusing the Platform or violating the terms of use contained in this section could expose you to liability or otherwise cause your access to be terminated.
5. WHAT YOU’RE AGREEING TO (and What We Are NOT Agreeing To) At Beelocal, we aim to keep this platform a safe, useful, and authentic space for both businesses and consumers. That said, while we encourage users to follow these Terms, we are not automatically obligated to get involved if someone else breaks them. If you discover something sketchy, definitely tell us under “Contact Us” as we take all reports seriously. But just know that how and whether we respond is up to us. Now, when you use Beelocal, you are making some promises to us. We’re not trying to be overly formal here, but because we’re building a trusted community, these commitments matter — and they help protect everyone involved. a. Your Commitments as a User By signing up, posting content, using the service, or patronizing business partners you found through Beelocal, you’re saying that: i. You’ve read and understand our Content Guidelines. These explain what’s okay to post (and what’s not), so everyone plays by the same rules. ii. You’ve read and understand our Privacy Policy. If you’re outside the United States, you’re cool with your personal info being transferred to and processed here in the U.S. That’s where our systems and teams are based. What You Agree Not to Do To keep the Beelocal community strong, transparent, and legal, you promise not to do any of the following — and not to help, encourage, or hire anyone else to do them either: i. Break these Terms, including our Content Guidelines. No surprises here — rules are rules. ii. Post dishonest, fake, or manipulated reviews. That includes paying someone to write one, trading reviews with other businesses, or agreeing to remove or withhold a review in exchange for money, discounts, or favors. iii. Violate someone else's rights. That means no uploading content that infringes on copyright, trademarks, trade secrets, patents, privacy, or any other legal or moral rights of others. iv. Threaten, harass, or abuse anyone. We don’t tolerate hate speech, discrimination, stalking, or bullying — online or offline. v. Use your personal account for business promotion unless you’re using a verified Business Account and following our Business Terms. If you're running a business, great! Just make sure you're using the right tools and not mixing business with personal reviews. vi. Send spam or mass communications (like bulk emails, surveys, or promo messages), or try to game our platform or search systems (including stuffing reviews with keywords). vii. Target or collect personal info from minors, or post sexually explicit, pornographic, or inappropriate content. viii. Do anything illegal. Pretty straightforward. ix. Copy, distribute, or display content from Beelocal (other than what you’ve uploaded yourself) unless we’ve given you explicit permission. We love open sharing, but only when it’s legit. x. Use bots, scrapers, or other automated tools to collect, download, or interact with our platform — unless we’ve clearly said it’s okay (like in our robots.txt file). xi. Reverse-engineer any part of the platform. If the law in your area allows you to do this, you’ll need to give us 30 days’ written notice first. xii. Alter copyright, trademark, or ownership notices that appear anywhere on the site or on printed/downloaded content. xiii. Harvest data about users or build any kind of marketing list without clear consent. xiv. Use Beelocal to build or populate a competing service, especially anything that mimics our Platform or search functions. xv. Visually redesign or “frame” parts of Beelocal on other websites or apps — no embedding us inside your own thing. xvi. Overload our servers or disrupt the platform — whether it’s through traffic spikes, scripts, or excessive use that could hurt performance for others. Upload malware or harmful code like viruses, worms, spyware, ransomware, or anything else designed to harm our systems or users. xix. Interfere with the platform in any technical way. If you’re trying to break or exploit something on purpose, we’ll take that seriously. xx. Use Beelocal to compromise any system’s security — whether ours, another user's, or a third party’s. xxi. Disable or work around any of our protective features, including those that stop unauthorized copying, limit usage, or safeguard personal info. We’re a startup! That means trust and safety are everything to us. These ground rules help keep Beelocal fair, safe, and effective for everyone — users, business owners, and our team. If you can stick to them, we’ll all get along just fine.
6. PLATFORM AVAILABILLITY The Platform may be modified, updated, interrupted, suspended or discontinued at any time without notice or liability.
7. USER CONTENT You retain ownership of any intellectual property rights that you hold in Your Content. However, by submitting Your Content to the Platform, you grant Beelocal a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, display, modify, distribute, publish, and otherwise exploit such Content in connection with operating, promoting, and improving the Platform. You represent and warrant that: a. You own or control all rights in and to Your Content; b. Your Content does not violate any laws or infringe on the intellectual property, privacy, publicity, or other rights of any third party; c. You have obtained the necessary licenses, rights, consents, and permissions to submit Your Content and grant the rights described herein. You are solely responsible for Your Content and any consequences of posting or publishing it. Beelocal does not endorse any User Content or opinion, recommendation, or advice expressed therein, and we expressly disclaim any liability associated with User Content. Beelocal reserves the right, but is not obligated, to remove or modify any User Content at its discretion, including if such Content violates these Terms or applicable law.
8. SUGGESTIONS If you send us any ideas, suggestions, documents, etc., (a “ Suggestion”) you agree that (i) your Suggestion does not contain any third party confidential or proprietary information, (ii) we are under no obligation of confidentiality, express or implied, with respect to the Suggestion, (iii) we may have something similar to the Suggestion already under consideration or in development, (iv) we have no obligation to review, consider, or implement the Suggestion, or to return to you all or part of the Suggestion, and (v) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide, assignable, sublicensable, transferable license to use, modify, prepare derivative works of, publish, distribute and sublicense the Suggestion, and you irrevocably waive, and cause to be waived, against Beelocal and its users any claims and assertions of any moral rights contained in your Suggestion.
9. BUSINESS LISTINGS AND REVIEWS The Platform allows users to submit reviews and ratings of businesses, and for businesses to create or claim business profiles. By submitting a review or claiming a profile, you agree to the following: a. You will only provide content that reflects your honest, firsthand experiences with the business; b. You will not post fake, biased, incentivized, or defamatory reviews; c. You will not submit reviews as part of any exchange for compensation, discounts, or promotional deals; d. Businesses may respond to reviews, but may not coerce, manipulate, or incentivize users in exchange for review changes or removal. Businesses are responsible for the accuracy and legality of any information provided in their profiles, including hours of operation, services offered, and licensing information. Beelocal does not guarantee or verify the accuracy of business profile content, and you acknowledge that any reliance on such content is at your own risk. We reserve the right to remove or suppress reviews or business information at our sole discretion, particularly in cases involving fraud, abuse, or legal complaints. Nothing in these Terms constitutes an endorsement, recommendation, or guarantee of any business by Beelocal.
10. ADVERTISING Beelocal and its business partners may publicly display advertisements, paid content, and other information nearby or in association with Your Content. You are not entitled to any compensation for such advertisements. The manner, mode and extent of such advertising are subject to change at the sole discretion of Beelocal and without notice to you.
11. INTELLECTUAL PROPERTY We retain ownership of all Beelocal Content, including but not limited to visual interfaces, interactive features, graphics, design, compilation, computer code, products, software, and all other elements and components of the Platform excluding Your Content, User Content and Third-Party Content. We also own the copyrights, trademarks, service marks, trade names, trade secrets, and other intellectual and proprietary rights throughout the world associated with the Beelocal Content and the Service, which are protected by copyright, trade dress, patent, trademark, and trade secret laws and all other applicable intellectual and proprietary rights and laws. As such, you may not sell, license, copy, publish, modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way use or exploit any of the Beelocal Content in whole or in part except as expressly authorized by us. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to the Platform and the Beelocal Content are retained by us.
12. PAID SERVICES Some features of the Platform may be available only through payment of fees. These may include promoted listings, subscription packages, analytics tools, or other advertising services. You agree to pay all applicable fees and taxes incurred in connection with your use of paid services. Payments are non-refundable except where required by law or explicitly stated in writing by Beelocal. We may change our pricing and billing practices at any time by updating the Platform and providing notice. Continued use of paid services after a change constitutes acceptance of the new terms. You are responsible for providing accurate billing and contact information and updating it if it changes.
13. THIRD PARTY LINKS AND SERVICES The Platform may contain links to third-party websites, services, or content that are not owned or controlled by Beelocal. We do not endorse or assume responsibility for any third-party services. Your interactions with such parties are solely between you and the third party. You acknowledge and agree that Beelocal shall not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party service.
14. CONTENT MODERATION Except as required by law, we reserve the right to screen, remove, edit, or reinstate User Content at our sole discretion for any reason or no reason, and without notice to you. For example, we may remove a review if we believe that it violates our Content Guidelines.
15. TERMINATION You may terminate your Account at any time by discontinuing use of the Platform and notifying us. Beelocal may suspend or terminate your access to the Platform at any time and for any reason, with or without notice. Provisions relating to ownership, licenses, disclaimers, dispute resolution, and limitation of liability shall survive termination of these Terms.
16. DISCLAIMERS YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM AND ALL SERVICES AND CONTENT ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTY OF ANY KIND. BEELOCAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. BEELOCAL DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 17. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEELOCAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. THE PLATFORM IS MADE AVAILABLE TO YOU ON AN “AS IS” BASIS. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOST PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF BEELOCAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NO CLAIMS OR PROMISES WITH RESPECT TO ANY THIRD PARTY, SUCH AS THE BUSINESSES OR ADVERTISERS LISTED ON THE PLATFORM OR THAT OFFER GOODS OR SERVICES THROUGH THE SERVICE, OR THE SERVICE’S USERS. ACCORDINGLY, BEELOCAL IS NOT LIABLE TO YOU FOR ANY PERSONAL INJURY, LOSS OR DAMAGE THAT MIGHT ARISE FROM ANY SUCH THIRD PARTY’S ACTIONS OR OMISSIONS, INCLUDING, FOR EXAMPLE, IF ANOTHER USER OR BUSINESS MISUSES YOUR CONTENT, IDENTITY OR PERSONAL INFORMATION, OR IF YOU HAVE A NEGATIVE EXPERIENCE WITH ONE OF THE BUSINESSES OR ADVERTISERS LISTED OR FEATURED ON THE SERVICE. YOUR PURCHASE AND USE OF PRODUCTS OR SERVICES OFFERED BY THIRD PARTIES THROUGH THE SERVICE IS AT YOUR OWN DISCRETION AND RISK. BEELOCAL’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE PLATFORM SHALL NOT EXCEED THE GREATER OF (I) $100 OR (II) THE AMOUNT PAID BY YOU TO BEELOCAL IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
18. DISPUTE RESOLUTION These Terms and any dispute arising from your use of the Platform shall be governed by the laws of the State of Wyoming, without regard to conflict of laws principles. You agree to waive your right to trial by jury to the fullest extent allowed by law. You agree to resolve all disputes through final and binding arbitration before a single arbitrator, administered by the American Arbitration Association under its Expedited Procedures, in Raleigh, NC. YOU WAIVE YOUR RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, GROUP, OR REPRESENTATIVE ACTION OR PROCEEDING. 19. INDEMNITY By using Beelocal, you agree to have our back if something you do causes problems for us legally. More specifically, you agree to defend, indemnify, and hold harmless Beelocal, its parent company, affiliates, subsidiaries, partners, suppliers, licensors, and the officers, directors, employees, contractors, and agents of all of the above (collectively, the “Beelocal Team”) from and against any claims, demands, lawsuits, damages, losses, liabilities, and expenses (including reasonable legal fees and court costs) that come up due to any of the following: a. Your use of the Platform, including anything you post, share, or do on it; b. Your violation of these Terms; c. Any breach of the promises or representations you’ve made under these Terms; d. Any products or services you purchase through the Platform (or problems related to them); e. Any products or services you offer or promote using the Platform (especially if there are issues with them); f. Any claim that you (or someone using your account) infringed on someone else’s rights — like copyrights, trademarks, privacy, or other legal protections. If something like this happens, we may choose to take the lead on defending ourselves, and you agree to cooperate with us if we do. In that case, you’ll still be responsible for the costs. You’re also not allowed to settle any claim that involves us unless we give you written permission first. If we get wind of a claim that might involve you, we’ll do our best to let you know as soon as possible.
20. GENERAL TERMS These Terms constitute the entire agreement between you and Beelocal with respect to the Platform and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remainder shall remain in full force and effect. You may not assign or transfer your rights under these Terms without prior written consent from Beelocal. Beelocal may assign these Terms freely without restriction. No waiver of any term shall be deemed a further waiver of such term or any other term.
